Item 8.01 Other Events.
On December 22, 2014, NewStar Financial, Inc. (the “Company”) repurchased 1,000,000 shares of its common stock in a privately negotiated transaction with an unaffiliated third party for an aggregate purchase price of $10,240,000. The repurchase was not made under the $10,000,000 repurchase program announced by the Company on August 13, 2014, pursuant to which approximately $5.6 million of common stock may yet be repurchased.
