Yesterday, Partner Re received a revised acquisition proposal from EXOR S.p.A. and, a short while ago, PartnerRe announced that its Board of Directors would seek to engage with EXOR to determine whether the current offer can be improved both in its price and terms. This is consistent with the Board’s fiduciary duty to evaluate and review strategic options for the benefit of the Company and its shareholders. Importantly, the PartnerRe Board publicly reiterated that it has not changed its recommendation with respect to, and continues to support the transformative merger with AXIS Capital as it remains superior in value and terms to the current EXOR proposal.

 

As you know, AXIS recently reaffirmed its commitment to the merger agreement. We continue to believe the merger will allow stakeholders of both companies to participate appropriately and meaningfully in the value created by the combination of the two companies. Simply, this merger creates opportunities neither AXIS nor PartnerRe could achieve on our own in the near term.

 

As a result of this latest news, we have decided to suspend all integration related work and activities. We will provide more updates when we have information that we can share. In the meantime, the shareholder vote with respect to the merger of PartnerRe and AXIS Capital remains set for August 7.

 

We understand that the various and news stories have been an unnecessary distraction. We appreciate all of your continued efforts and flexibility throughout this process.
