New York Partner Authors Contract Law Guide for Foreign Practitioners

Glen Banks, a partner in Norton Rose Fulbright’s New York office who is a recognized authority on New York contract law, has written a reference guide for international practitioners and non-New York lawyers.

New York Contract Law: A Guide for Non-New York Attorneys, published by the New York State Bar Association, is designed for lawyers outside New York to quickly access information concerning New York Contract Law and use it to advise their clients concerning documents governed by New York law. Because New York has well-developed laws concerning corporate transactions, contracts involving large international transactions are often governed by New York law.

Banks, whose 2006 book New York Contract Law has been cited by New York’s highest court as well as other state and federal courts, said:

“With the prevalence of New York law in international matters and the frequency of New York ‘choice-of-law’ clauses in global transactions contracts, practitioners need a resource which provides a basic understanding of New York contract law. The book, arranged in a question-and-answer structure, addresses New York contract law issues such as negotiation, enforcement, document preparation, breach of contract claims, clients’ rights and includes clauses from publicly filed agreements covering waivers, liquidated damages and force majeure.
